Refund Policy: Due to the custom nature of UGC services, all sales are final. Refunds are not issued once services are rendered, except in extraordinary circumstances where VibingViral fails to deliver the agreed services.

5. User-Generated Content (UGC)

Ownership: Upon full payment, all content created by VibingViral is your property. You have full rights to use the UGC for marketing, advertising, and distribution purposes.
Content Approval: You are responsible for reviewing and approving UGC drafts. Once approved, no further revisions will be made unless otherwise agreed upon in writing.

6. Intellectual Property

Client Content: By providing content such as logos, trademarks, or images, you confirm ownership or proper authorization for their use. You are responsible for any claims arising from the misuse of third-party content.
VibingViral’s Content: All materials on the VibingViral Site, including text, graphics, and logos, are owned or licensed by VibingViral and may not be used, reproduced, or distributed without our prior written consent.

7. Confidentiality

Both parties agree to maintain confidentiality regarding any proprietary information exchanged, including strategies, pricing, and content drafts. This confidentiality obligation does not apply to information that is publicly available or required to be disclosed by law.

8. Client Responsibilities

As a client, you agree to:

Provide accurate and timely information needed for UGC creation.
Ensure that all provided content complies with applicable laws and does not infringe upon third-party rights.
Make timely payments as agreed.

Failure to meet these responsibilities may result in delays or termination of services.

9. Prohibited Uses

You agree not to use UGC or VibingViral services to:

Violate any federal, state, or local laws, regulations, or third-party rights.
Include defamatory, obscene, or offensive material.
Promote illegal activities or infringe on intellectual property rights.

10. Limitation of Liability

To the fullest extent permitted by law, VibingViral will not be liable for any indirect, incidental, consequential, or special damages arising from your use of our services, including but not limited to loss of profits, data, or reputation. Our liability is limited to the total amount paid by you for the specific service in question.

11. Indemnification

You agree to indemnify and hold VibingViral, its affiliates, employees, and agents harmless from any claims, damages, liabilities, and expenses (including legal fees) arising from:

Your use of our Site or services.
Any content you provide for UGC creation.
Your breach of these Terms.

12. Termination of Service

VibingViral reserves the right to terminate or suspend services at any time, with or without notice, if you violate these Terms or engage in behavior deemed harmful to our business or other users. Termination does not affect your obligation to pay for any services already rendered.

13. Governing Law

These Terms and any disputes related to them are governed by the laws of the State of Florida, without regard to its conflict of laws principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Florida for any legal proceedings related to these Terms or our services.

14. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or related to these Terms or our services, the parties will first attempt to resolve the issue through good faith negotiations. If such negotiations do not resolve the issue, the dispute will be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

Class Action Waiver: All disputes must be resolved on an individual basis. You agree not to participate in any class action or class-wide arbitration related to these Terms.

15. Modifications to the Terms

VibingViral reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated date at the top. Continued use of our Site or services after changes signifies your acceptance of the modified Terms.

16. Force Majeure

VibingViral is not liable for any failure to perform obligations due to unforeseen circumstances or events beyond our reasonable control, including but not limited to natural disasters, pandemics, labor strikes, or interruptions of internet service.
